Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Jenria Infotech LLP (ACV-9592)("Company", "we", "us", or "our"), governing your access to and use of PayTrova, an invoicing, payment, and business management platform ("Service"). Our Service is accessible at paytrova.com.
By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy, Refund Policy, and Acceptable Use Policy. If you do not agree to these Terms, you must not access or use the Service.
Please read these Terms carefully before using our Service. By using PayTrova, you are agreeing to these Terms on behalf of yourself or the entity you represent.
For the purposes of these Terms:
- "Service" means the PayTrova platform, including all software, APIs, websites, and services provided by us
- "User" or "Customer" means any individual or entity that accesses or uses the Service
- "Subscription" means the paid access to the Service features
- "Transaction" means any payment made through our payment processing systems
- "Transaction Amount" means the amount paid by you for the Service
- "Payment Instrument" means credit cards, debit cards, UPI, net banking, or other payment methods
- "Chargeback" means a reversal of a transaction requested by your bank or card issuer
- "Facility Provider" means banks, payment networks, and other entities that facilitate payment processing
To use our Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding contract
- Not be prohibited from using the Service under applicable laws
- If acting on behalf of an organization, have the authority to bind that organization to these Terms
- Provide true, accurate, current, and complete information as required during registration
PayTrova is an invoicing and business management platform that provides:
- Invoice Management: Create, send, and track invoices with GST compliance
- Payment Processing: Accept payments via Razorpay (UPI, cards, net banking)
- Quote & Estimate Management: Generate professional quotes and convert to invoices
- Credit & Debit Notes: Issue credit notes, debit notes, and delivery challans
- Client Portal: Secure portal for clients to view invoices and make payments
- PDF Generation: Professional invoice templates with customization options
- Inventory Management: Track stock levels and product catalog
- Multi-Factor Authentication: Enhanced security through TOTP and WebAuthn/Passkeys
- Recurring Invoices: Automated recurring invoice generation
The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, or fit for your specific business purposes.
To access certain features of our Service, you must create an account. When creating an account:
- You must provide accurate, current, and complete information
- You must maintain and promptly update your account information
- You are responsible for maintaining the confidentiality of your login credentials
- You must notify us immediately of any unauthorized access to your account
- You are responsible for all activities that occur under your account
- You must not share your account credentials with unauthorized individuals
Account Types
- Owner: Primary account holder with full administrative privileges
- Admin: Administrator with configurable granular permissions
- Member: Team member with limited permissions
Pricing
Our subscription plans are billed on a monthly or annual basis in Indian Rupees (INR). Current pricing and plan details are available on our billing page within the application. We reserve the right to modify pricing with 30 days prior notice to existing customers.
Payment Processing
Payments are processed securely through Razorpay, a licensed Payment Aggregator regulated by the Reserve Bank of India (RBI). By providing payment information, you:
- Authorize us to charge your payment method for all fees incurred
- Agree to provide current, complete, and accurate billing information
- Consent to share your information with our payment processor as required
- Accept that currency conversion rates (if applicable) are determined by your card issuer or bank
Subscription Renewal
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.
Failed Payments
If a payment fails:
- We will attempt to charge your payment method up to 3 times
- You will receive email notifications about failed payments
- Service will continue during a 7-day grace period
- After the grace period, your subscription will be suspended
- You can reactivate by updating payment method and clearing outstanding dues
Free 14-day trial:No payment details are required to start your trial — we only collect payment (through our payment processor) when you purchase a paid plan. Paid subscriptions are covered by the 14-day refund window described in our Refund & Cancellation Policy.
Refunds for paid plans are governed by our Refund & Cancellation Policy, which provides a full refund within 14 days of a paid purchase or renewal.
You may cancel your subscription at any time. Upon cancellation:
- Your subscription will not renew at the end of the current billing period
- You retain access to paid features until the end of your current billing period
- Outside the 14-day refund window, no partial refunds are issued for unused time
- Your data is retained in line with our Privacy Policy and applicable statutory retention periods
We take payment disputes seriously. If you have concerns about a charge:
- Contact Us First: Please contact us at [email protected] before initiating a chargeback with your bank
- Provide Documentation: We may request transaction details to resolve disputes
- Response Time: We will respond to dispute inquiries within 5 business days
Chargeback Policy
If you initiate a chargeback with your bank or card issuer:
- Your account may be suspended pending investigation
- We reserve the right to dispute the chargeback with documentation
- You may be liable for chargeback fees and associated costs
- Fraudulent chargebacks may result in account termination and legal action
We comply with card network rules (Visa, Mastercard, RuPay, American Express) and RBI guidelines for payment disputes and chargebacks.
As a user of our Service, you agree to:
- Use the Service only for lawful purposes and in compliance with all applicable laws
- Ensure all invoices and financial documents created are accurate and truthful
- Not create fraudulent, misleading, or fake invoices
- Maintain proper records for tax compliance (GST)
- Not use the Service for money laundering or financial fraud
- Not interfere with or disrupt the integrity or performance of the Service
- Not transmit any malware, viruses, or other malicious code
- Retain transaction records and invoices as required by applicable law
- Comply with our Acceptable Use Policy
You shall not use our Service for, or in connection with, any of the following:
- Creating fraudulent or fictitious invoices
- Money laundering or other financial crimes
- Tax evasion or misrepresentation of financial data
- Gambling, betting, lottery, or games of chance
- Sale of drugs, drug paraphernalia, or controlled substances
- Weapons, ammunition, or explosives
- Counterfeit goods or intellectual property infringement
- Multi-level marketing schemes or pyramid schemes
- Activities threatening national security or public order
- Any activity prohibited under Indian law or international sanctions
Violation of these prohibitions will result in immediate account termination without refund.
Our Intellectual Property
The Service and its original content, features, and functionality are owned by Jenria Infotech LLPand are protected by applicable Indian intellectual property laws, including the Copyright Act, 1957, the Trade Marks Act, 1999, the Patents Act, 1970, and the Information Technology Act, 2000. You shall not:
- Copy, modify, or create derivative works of our Service
- Reverse engineer, decompile, or disassemble our software
- Remove or alter any proprietary notices or labels
- Use our trademarks without authorization
Your Content
You retain ownership of any content, data, or information you submit to the Service. By using our Service, you grant us a limited license to use, store, and process your content solely to provide and improve our services.
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
We process your personal data in compliance with the Digital Personal Data Protection Act, 2023 (DPDP Act), the Information Technology Act, 2000, and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.
Data Sharing with Payment Processor
By using our Service, you expressly consent to:
- Sharing your information with Razorpay for payment processing
- Sharing transaction data with banks and card networks as required
- Processing of KYC information for regulatory compliance
- Sharing information with government authorities when required by law
When your organization is deleted, you have a 7-day grace period to export your data before it is permanently removed from our systems.
- Data Export: During the grace period, you can download a complete copy of your organization data in a commonly used, machine-readable format (CSV). This includes invoices, clients, products, payments, expenses, and other business records.
- Permanent Deletion: After the 7-day grace period, all data associated with your organization will be permanently deleted, including files stored in cloud storage. This action is irreversible.
- Your Responsibility: You are responsible for maintaining copies of any records required for tax compliance or legal purposes. We recommend downloading your data export before the grace period expires. Statutory requirements may mandate retention of financial records (e.g., 8 years for India GST).
Availability
We strive to maintain high availability of our Service. However, we do not guarantee uninterrupted access and may experience downtime for maintenance, updates, or unforeseen technical issues.
Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.
Termination by You
You may terminate your account at any time by cancelling your subscription and requesting account deletion through your account settings or by contacting us at [email protected].
Termination by Us
We may suspend or terminate your access immediately, without prior notice, if:
- You breach any provision of these Terms
- You engage in fraudulent or illegal activities
- You fail to pay any amounts due
- Your use poses a security risk to the Service or other users
- We receive instructions from regulatory authorities or payment processors
Effect of Termination
- Your right to use the Service will immediately cease
- We will retain your data for 30 days, after which it will be permanently deleted
- You remain liable for any fees or obligations incurred before termination
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the maximum extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You acknowledge that you use the Service at your own risk.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- WE SHALL NOT BE LIABLE FOR ANY LOSS OF DATA, PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
- WE ARE NOT LIABLE FOR DELAYS OR FAILURES CAUSED BY PAYMENT PROCESSORS, BANKS, OR THIRD PARTIES
You agree to indemnify, defend, and hold harmless Jenria Infotech LLP and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or relating to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of a third party
- Any content you submit or transmit through the Service
- Chargebacks or payment disputes initiated by you
We are committed to addressing your concerns promptly.

Response Timeline
- Acknowledgment: Within 24 hours
- Initial response: Within 5 business days
- Resolution target: Within 15 business days
- Complex issues: Within 30 business days with regular updates
Escalation
If you are not satisfied with our response, you may escalate to our management team or contact Razorpay's grievance portal at razorpay.com/grievances.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of India, including but not limited to the Indian Contract Act, 1872, the Consumer Protection Act, 2019, the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023.
Dispute Resolution
Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, either party may submit the dispute to binding arbitration in 221, Nandanvan Society, Canal Road, Vadodara, Vadodara, Gujarat 390008, India, in accordance with the Arbitration and Conciliation Act, 1996.
Jurisdiction
For matters not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in 221, Nandanvan Society, Canal Road, Vadodara, Vadodara, Gujarat 390008, India.
- Entire Agreement: These Terms, together with our Privacy Policy, Refund Policy, Acceptable Use Policy, and Cookie Policy, constitute the entire agreement between you and us.
- Severability: If any provision is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any provision shall not constitute a waiver.
- Assignment: You may not assign these Terms without our prior written consent.
- Force Majeure: We shall not be liable for failure to perform due to circumstances beyond our reasonable control.
- Electronic Records: These Terms constitute an electronic record under the Information Technology Act, 2000 and rules thereunder. This electronic record is generated by a computer system and does not require any physical or digital signatures.
- Applicable Law: These Terms are governed by the Indian Contract Act, 1872, the Consumer Protection Act, 2019, the Information Technology Act, 2000, and other applicable Indian laws.
